EXECUTIVE COMPENSATION ATTORNEY

Zahava is a sophisticated executive compensation adviser with over a decade of experience at leading law firms. She provides trusted counsel to executive leadership teams and individual executives and to employers of all sizes, as well as to boards of directors, investors and fund sponsors. Zahava advises executives and both public and private companies on complex financial incentives for incoming and outgoing employees, directors and other service providers. Zahava’s practice includes a special focus on executive compensation in the context of corporate transactions such as mergers, acquisitions, dispositions and initial public offerings.

Zahava has extensive experience negotiating and implementing “carried interest,” “promote” and “profits interest” arrangements at partnerships and LLCs as well as corporate equity compensation programs such as stock options and restricted stock units. In addition, she drafts and negotiates employment, consulting and severance agreements and designs short- and long-term cash incentive arrangements, including targeted transaction and retention incentives. In all contexts, she advises from a practical, business-minded perspective while drawing on her tax-law expertise regarding compensatory arrangements, including a particular focus on Sections 280G and 409A of the Internal Revenue Code.

Zahava also advises on benefit plan matters in the context of corporate transactions.
