Executive Compensation

Megan Harrison is an advocate and strategic advisor to executives, entrepreneurs and companies facing career-defining disputes, workplace crises and complex contract negotiations. She protects her clients’ reputations, careers and business interests when the stakes are highest, whether at the negotiating table, in mediation or at trial.

Having represented both companies and the executives who lead them, on both the plaintiff and defense sides, Megan understands firsthand how each side evaluates risk, leverage and reputation. That perspective enables her to anticipate an opponent’s moves, tailor her approach to each client’s circumstances and drive toward the best possible resolution for the client’s unique needs.

Her practice spans a broad range of industries, including financial services, media, technology, real estate and biotech. She has won and resolved a wide variety of employment, executive compensation and contract disputes in state and federal court, before arbitral forums including FINRA, AAA, and JAMS, and through strategic negotiation and mediation.

She provides counsel on the full spectrum of employment and executive compensation matters, including:

  • Executive employment negotiations and disputes: negotiating seven- and eight-figure employment contracts and litigating disputes concerning deferred compensation, complex equity arrangements, bonuses, FINRA Form U5 issues and terminations.

  • Restrictive covenants and trade secrets: drafting and advising on noncompete and nonsolicitation agreements, and enforcing and defending against restrictive covenant and trade secret claims.

  • Internal investigations: conducting investigations into allegations of misconduct and whistleblower complaints and drafting independent reports of findings, and counseling executives and high-performing professionals facing workplace investigations and complaints that threaten their reputations and livelihoods.

  • Discrimination and whistleblower claims: representing companies and employees in high-value discrimination claims and whistleblower complaints.

  • Employment counseling: advising companies and managers on a variety of employment issues, including hiring and firing decisions, accommodations and leave requirements, and drafting employment agreements and policies.

  • Indemnification and advancement: obtaining indemnification and advancement for officers and directors named in litigation or called as witnesses in regulatory investigations and third-party litigation.

  • Strategic advice and coaching: helping executives and professionals navigate complex workplace and career issues, including hiring, negative performance feedback, reporting misconduct, aggressive work environments, difficult managers, and separations.

Prior to joining Cohen & Buckman, Megan spent over 10 years at Harris St. Laurent LLP, where she where she served as first and second chair trial counsel in numerous JAMS and FINRA arbitrations securing over $15 million in combined awards on behalf of her clients, and mediation counsel successfully negotiating multi-million-dollar settlements.
